In Part II of this session, we will continue the exploration of how the investment community is likely to react to the current broadband space. What kinds of companies will be funded today? Will there be the broadband subscriber threshold that will trigger a new wave of content plays? How do they analyze the wireless space? Is the P2P community really hot, or is does the investment community consider it past it peak? Let’s take a few minutes and explore the investment landscape.

Dennis Miller, General Partner, Constellation Ventures and Managing Director, Bear Stearns: Over the past 15 years, Dennis Miller has served in a number of high-level executive positions at leading media companies. Mr. Miller's primary focus has been on programming, strategic planning, marketing, and creative content. From 1998 to 2000, Mr. Miller was Executive Vice President of Lions Gate Entertainment. In two years, Lions Gate acquired a film production and distribution entity, an animation company, a film studio plant, and started a television division resulting in annual sales of $175 million during Mr. Miller's tenure. Prior to joining Lions Gate, Mr. Miller was Executive Vice President of Sony Pictures Entertainment (SPE). Mr. Miller was responsible for the television operations of SPE, along with strategic planning and new media, which generated roughly two thirds of SPE's operating income. During Mr. Miller's tenure, Sony's television operation became the second largest supplier of television programming in the United States. Mr. Miller had responsibility for Sony's television operation that included, network, first-run, cable, international channels and new media. Under Mr. Miller's direction, Sony became the second largest supplier to the networks. Sony owned, operated or had and interest in 12 channels or platforms including HBO Ole, the Action Channel in Asia, two movie channels in Australia, and a general entertainment channel in India. During Mr. Miller's tenure, Sony's new media division launched its primary Internet initiative - the Sony Station. Mr. Miller's division included over 750 individuals with annual revenues of $1.4 billion and EBITDA of roughly $180 million. From 1990-1995, Mr. Miller was Executive Vice President of Turner Network Television, with responsibility for production, business affairs and original programming for the TNT Network, overseeing all aspects of the network's operation. In 1997, Mr. Miller took on the additional responsibility for the Turner Entertainment Company, which spearheads the utilization of Turner's library of more than 3,000 motion picture titles. From 1988-1990, Mr. Miller was President and Chief Operating Officer of Think Entertainment, a cable production company owned by TCI, Newhouse and United Artists. Think Entertainment was founded by Shelly Duvall and was known for its innovative children's programming including the Peabody and Emmy Award winning Fairy Tale Theater. From 1984-1988, he was Founder and President of Access Syndication, a company that distributed live-action and animated programming to the television marketplace. Mr. Miller began his career as an attorney with Manatt, Phelps, Rothenberg and Phillips in Los Angeles. He received his jurist doctorate from Boalt Law School at the University of California at Berkeley in 1982.

Ronald Fujikawa, Partner at Greenberg Glusker Fields Claman & Machtinger: (Los Angeles). Mr. Fujikawa's practice consists of representing both publicly-held and private entities in connection with a broad range of sophisticated securities, M&A and financing transactions. In addition, he represents a number of celebrities and other high net worth individuals in structuring and negotiating business and investment transactions in which they become involved. For example, Mr. Fujikawa has represented Wayne Gretzky since 1988, and has advised him with respect to his hockey, endorsement and other business ventures since that date. Recently, he represented Wayne in connection with his purchase of a substantial equity interest in MVP.com, a Web-based online sporting goods site

Ken Elefant, Senior Associate, Battery Ventures: Mr. Elefant joined Battery in 1999 and focuses on internet infrastructure investments. From 1994 to 1997, he worked at Radius Inc. where, most recently, he was the Director of International Sales and Marketing and a member of Radius' executive staff. In addition, he held various marketing and business development positions at Claris Corporation and RealNetworks. Mr. Elefant holds a BS in Economics from the Wharton undergraduate division at the University of Pennsylvania and an MBA from Harvard Business School.





Rick Bender is CEO of CyberStrategies, a digital media consulting company focused on strategic issues and business development for both start-up and established companies. Using strategy, technology, distribution, marketing/advertising, commerce, content aggregation and syndication deals, CyberStrategies exercises increased value and profitability for its clients in the convergence of technology, media, and telecommunications industries. Prior to heading up CyberStrategies, Mr. Bender directed the creation and business development of profitable digital media business ventures for the American Film Institute (AFI). This included initiatives involving Internet, Broadband, and Wireless distribution channels, and creation of compelling and immersive, enhanced interactive experiences based on sound hybrid business models. Previously, Mr. Bender developed Cedars-Sinai Health System’s Internet and Intranet initiatives and worked at both the RAND Corporation and Princeton University. Mr. Bender holds a Bachelors degree from the University of California, Santa Cruz and a Masters degree from Princeton University.





John C. Kirkland, Partner, Greenberg Traurig, LLP: John C. Kirkland concentrates on corporate, venture capital and information technology matters. He represents Internet, new media, technology and other emerging growth companies, and venture capital funds and investment banks that invest in such companies. Mr. Kirkland speaks and writes extensively on venture capital, intellectual property and technology issues. He counsels clients in developing and refining their business models, setting up optimal capital and legal structures, identifying, protecting and exploiting their intellectual property and proprietary information, and obtaining financing through private placements and initial public offerings. Mr. Kirkland represents both underwriters and issuers in connection with public and private offerings of securities, including initial and secondary offerings of equity securities. He represents a number of private equity investors, particularly in connection with investments in Internet, e-commerce and technology companies. In the mergers and acquisitions area, he represents both buyers and sellers in public and private transactions, including leveraged buy outs, proxy contests and tender offers. Mr. Kirkland also advises Boards of Directors of public and private companies with respect to their fiduciary obligations in various transactions. He represents a wide variety of technology, new media and entertainment companies in complex transactions, and counsels them on intellectual property matters. Mr. Kirkland's practice includes negotiating and drafting domestic and international agreements for developing, distributing and licensing technology and intellectual property. He coordinates the legal aspects of website creation and infrastructure, including hardware, software and content licensing. Mr. Kirkland also provides clients with ongoing strategic advice, general corporate counseling on a variety of matters, and assistance with resolution of complex business disputes. A member of the State Bar of California, Mr. Kirkland is also admitted to the U.S. Court of Appeals for the Ninth Circuit, and the U.S. District Court in the Central, Eastern, Northern and Southern Districts of California. John Zagula, Principal, Ignition Corporation: Before Ignition, John was GM for Microsoft's Business Productivity Group's Global Campaigns. He was responsible for campaigns including branding, advertising, online marketing, direct marketing, market research, strategic PR, and partnerships. John was a key player in building the Office and BackOffice brands and an early pioneer in high-tech database and online marketing, launching Microsoft's first Internet banner campaign. Before joining Microsoft in 1992, John managed Consumer Marketing/Retention for American Express Corporation.











Stuart Bressman, Partner, Brown Raysman Millstein Felder & Steiner: Stuart Bressman concentrates his practice in a wide variety of corporate transactions, including venture capital, securities offerings, mergers and acquisitions, joint ventures, recapitalizations and various forms of finance transactions. He also advises clients with respect to general corporate and securities compliance and reporting matters. Mr. Bressman has represented both underwriters and issuers in connection with public and private offerings of securities, including initial and secondary offerings of equity securities, offerings of high yield and investment grade debt, shelf registrations and Rule 144A offerings. Principal Investment Area in connection with a $10 million second round venture capital financing of a supplier of communications and multimedia subsystems for system-on-a-chip (SOC) designs, and a $5 million first round financing of an Internet "name your price" format retailer. Representation of SG Cowen Securities Corporation, as managing underwriter, in the public offering of $125 million of common stock by Audiovox Corporation, a designer and marketer of telecommunications and consumer electronics products throughout the world. Representation of Veridian Corporation, an advanced information solutions company, in its acquisition of ERIM International, a leader in information technologies related to imaging systems, information extraction, and knowledge generation and dissemination.
